Terms of Service

These Terms of Service (“Terms”) govern your engagement with Edifio, operated by Promptly AI Pvt Ltd, registered at Doomanganj, Allahabad (Prayagraj), 211011, Uttar Pradesh, India. By engaging our services, you agree to these Terms.

Edifio provides product development services including web applications, mobile applications, desktop applications, AI integrations, website revamps, and post-launch operational support. Services are delivered under three engagement models: Build, Build + Operate, and Full Partner.

Payments are structured on a milestone-based model:

• —Project payments are divided into milestones tied to deliverables
• —Each milestone has a defined scope, timeline, and cost
• —Milestone payments are due upon approval of that milestone's deliverables
• —For Build + Operate and Full Partner engagements, a monthly retainer is billed in advance
• —All invoices are payable within 7 days of issuance
• —Late payments may result in a pause of work until payment is received

Our refund policy follows a milestone-based approach:

• —Completed milestones are non-refundable
• —Milestones not yet started are eligible for a full refund
• —If work has partially started on a milestone, a pro-rata refund applies for the unfinished portion
• —Monthly retainers are refundable on a pro-rata basis for the unused period
• —Refunds are processed within 14 business days of approval

Upon full payment of all project milestones, the client owns 100% of the intellectual property— including all code, designs, assets, model weights, and deployment scripts.

Edifio retains the right to showcase the work in its portfolio, case studies, and marketing materials, including the project name, description, and non-confidential screenshots. If confidentiality requires otherwise, this can be negotiated in the engagement agreement.

Until full payment is received, Edifio retains ownership of all deliverables. IP transfers to the client upon receipt of the final payment.

We sign Non-Disclosure Agreements (NDAs) before starting any project. All client data, business information, source code, and project details are treated as confidential. This obligation survives termination of the engagement.

Each project begins with a discovery phase that defines the scope. Any changes or additions to the scope are handled through a formal change request process. Significant scope changes may result in adjusted timelines and costs, which will be communicated and agreed upon before implementation.

We warrant that deliverables will conform to the agreed-upon specifications for 30 days post-delivery. During this period, we will fix defects and bugs at no additional cost. This warranty does not cover issues caused by third-party services, client modifications, or changes to the deployment environment.

Edifio's total liability for any claim arising from these Terms or the services provided is limited to the total amount paid by the client for the specific project or engagement giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including loss of revenue, data, or profits.

Either party may terminate the engagement with 14 days written notice. Upon termination, the client is responsible for payment of all completed milestones and work in progress up to the termination date. All deliverables completed up to the termination date will be transferred to the client upon payment.

These Terms are governed by the laws of India. Any disputes arising from these Terms are subject to the exclusive jurisdiction of the courts in Prayagraj, Uttar Pradesh, India.
